Fees are what we hold for each state (last updated 10 October 2026). States change their fees, so confirm the current amount with the state before you file. Some states add a separate franchise or privilege tax, publication requirement or minimum tax that is not shown here.

How to choose a state

  • Look past the filing feeIt is paid once. The yearly cost and the registered agent are paid every year, so over time they matter more.
  • Where do you really operate? An office, staff or stock in a state usually means registering there too, so a "cheap" state can end up costing twice.
  • Living outside the US?Any state works, and you need a registered agent in it. See LLC formation for non-residents.

Questions about state fees

Which state is cheapest to form an LLC in?

Based on the fees we hold, Kentucky has the lowest state filing fee at $40. The cheapest states to open are Kentucky, Arizona, Mississippi, New Mexico, Hawaii. The filing fee is only part of the cost, so also compare the yearly cost in the table.

Do all states charge a yearly fee for an LLC?

No. 6 states list no yearly state report or fee for an LLC: Alabama, Arizona, Missouri, New Mexico, Ohio and others. Most states do charge, either every year or every two years.

Is the state filing fee the same as what Jupiter Filing charges?

No. The state fee goes to the state. Our service fee is separate and is shown on the pricing page, and the state fee is added on top at checkout, with no hidden markup.

Does a low-fee state mean I pay less tax?

Not by itself. The state of formation affects the filing fee and the yearly cost. Federal tax, and tax where you live, depend on your situation. If you operate in another state you may have to register there too.
