Welcome to JupiterFiling. These Terms & Conditions ("Terms") govern your use of https://jupiterfiling.com (the "Site") and the business formation, registered agent and related services we provide (the "Services"). By using the Site or placing an order, you agree to these Terms. If you do not agree, please do not use the Services.
1. Who we are and what we do
JupiterFiling is a document preparation and filing service. We prepare and submit formation documents to the relevant state authority on your instructions, and we provide related services such as EIN applications, registered agent representation and compliance reminders.
We are not a law firm and we do not provide legal, tax or accounting advice. Nothing on the Site or in our communications should be taken as legal advice. If you need advice on which entity type, state or tax election is right for you, please consult a licensed attorney or accountant.
2. Your account and your information
You are responsible for the accuracy and completeness of every detail you give us - names, addresses, ownership, and the information used on state and federal filings. We prepare filings from what you provide and cannot verify it. Errors in the information you submit may result in a rejected filing, additional state fees, or a filing that does not reflect what you intended, and correcting them may carry additional charges.
You agree to keep your login details confidential and to tell us promptly at info@jupiterfiling.com if you believe your account has been accessed without permission.
3. Orders, pricing and payment
Prices for our Services are shown on the Site at the time you order and are confirmed on your order summary before payment. State filing fees, expedite fees and other third-party charges are passed through at the amount charged by the authority and are shown separately.
Payment is due in full when you place your order and is processed by our payment providers. We do not store your full card details. Where taxes apply they are shown on the order summary.
We may correct pricing errors on the Site at any time. If an order was placed at an incorrect price we will contact you before proceeding, and you may cancel for a full refund if you do not wish to continue at the correct price.
4. How we process your order
Once your order and payment are received we will review your details, prepare the documents and submit them to the state. Processing times quoted on the Site are estimates based on typical state turnaround and are not guarantees; state processing times vary and are outside our control.
If the state rejects a filing because of the information you provided, we will tell you what needs to change and resubmit once corrected. State fees for a rejected filing may not be refundable by the state.
5. Registered agent service
Where you select JupiterFiling as your registered agent, we will receive service of process and official correspondence on behalf of your business at the address we designate, and forward it to you at the contact details on your account. It is your responsibility to keep those details current. The service is provided for the term shown at checkout and renews as described on the Site and in our renewal notices. You may change your registered agent at any time by filing the appropriate form with the state.
6. Cancellations and refunds
Cancellations and refunds are governed by our Refunds & Cancellations policy, which forms part of these Terms.
7. Acceptable use
You agree not to use the Services for any unlawful purpose, to form an entity for fraudulent purposes, to submit information you know to be false, or to interfere with the operation of the Site.
8. Intellectual property
The Site, its content, and the materials we prepare for you (other than the information you supply) are owned by or licensed to JupiterFiling. You may use documents we prepare for your business for that business; you may not resell or redistribute our materials.
9. Limitation of liability
To the fullest extent permitted by law, JupiterFiling is not liable for indirect, incidental, special or consequential losses, or for loss of profit, business or opportunity, arising from the Services. Our total liability for any claim relating to an order is limited to the amount you paid us for that order, excluding state and third-party fees.
We are not responsible for delays, rejections or decisions made by any state authority, the IRS, a bank, or any other third party.
10. Changes to these Terms
We may update these Terms from time to time. The version in force at the time you place an order applies to that order. Continued use of the Site after a change means you accept the updated Terms.
