Physical Address for an LLC in California: What Counts and What Does Not
· 3 min read
"Physical address" can mean three different things on a California LLC, and mixing them up causes rejected filings and bank problems. This guide separates them, explains what California asks for and what to do when you do not have an office or a home in the state. If you are new to the topic, start with the guide to starting an LLC.
The three addresses on a California LLC
- The registered agent's address. A street address in California where legal papers can be delivered. It must be a physical address, not a PO box.
- The principal office address. Where the LLC is run from. It is asked for on the formation filing and does not always have to be in California, but check the form.
- The mailing address. Where the state sends ordinary mail. This can differ from the other two.
The registered agent's address is the one the state insists on being in California. The others depend on your business.
What counts as a physical address
- A street address with a building number, not a PO box.
- A place where someone can accept deliveries during business hours.
- For the agent's address, a real California location.
A mailbox address is often not enough. Some banks, payment providers and marketplaces reject certain mailbox or virtual addresses as a business address, so ask the one you are applying to before you rely on it.
If you do not live in California
You do not need to own or rent an office to form a California LLC, but you do need an agent with a California street address. A registered agent service gives you that address on the public record in place of your home address. You can use your own address elsewhere as the principal office, where the form allows it. See what the agent does in California registered agent: what they do and how to choose one.
Privacy: what becomes public
The registered agent's name and address, and the addresses you list on the filing, appear on the state's public search. If you use your home address, anyone can look it up. Using a service address keeps your home off the record. Read the filing form closely so you know which addresses you are putting on it.
Common mistakes
- Using a PO box as the registered agent address.
- Using an address where nobody accepts legal papers during the day.
- Assuming the same address will be accepted by your bank. Ask them.
- Forgetting that state notices go to the agent, so changing your contact details matters.
